3 APPLICATION TO OPEN AN ACCOUNT

3.1 Our "Know Your Customer" or other similar checks have been duly completed to our satisfaction**, including identity verification, sanctions screening and other checks that we are required to carry out. We may use Ondato or another service provider to carry out some of these checks.**

We may refuse an application where we cannot provide the Services lawfully, safely or in accordance with our financial-crime, sanctions, fraud-prevention, regulatory or operational requirements. We will tell you whether we can provide the Services in your jurisdiction unless we are prohibited from doing so by law.

3.4 By submitting an Application Form to open an Account with us you confirm that you have read, understood and agree to these GTC and each of the documents referred to in clause 2.4 for the operation of an Account and for providing the Services. During onboarding, you must select the acceptance box for these GTC and the documents referred to in clause 2.4.

Before you are bound by these GTC, we will make the information required by applicable law available to you in a clear and comprehensible form. We will provide these GTC and the documents referred to in clause 2.4 on a Durable Medium. You will be able to download and retain them through the Platform. We will also send a confirmation of your acceptance to your registered email address.

3.6 Your Account will be opened only after we accept your application and complete our onboarding and customer due diligence checks. We may request further information before or after opening your Account.

4 JOINT ACCOUNTS

4.1 We do not currently offer joint Accounts.

4.2 If we decide to offer joint Accounts in the future, separate terms will apply. We will provide those terms before a joint Account is opened.

5 OUR SERVICES AND YOUR ACCOUNT

5.1 Subject to these GTC, you may use your Account to receive Services. You must use the Account only for lawful purposes.

5.2 Your Account provides the following Services subject to these GTC:

5.2. inbound and outbound payment transactions, including UK credit transfers through Faster Payments, euro credit transfers through SEPA Credit Transfer and international payments through SWIFT, where those payment methods are available to you;

5.2.2 internal transfers to other eligible client accounts within MAP e-Pay Solutions Limited, where available;

5.2.3 transfers to and from your Card**; and**

5.2.4 receipt of payments using your dedicated Virtual IBAN, UK sort code and account number, where provided to you.

5.3 You can access your Account via our API and/or Mobile App by using your Account Access Details. We may provide you with a dedicated Virtual IBAN and a UK sort code and account number. These details are linked to your Account. They do not create a bank account in your name with ClearBank, Currencycloud or another Payment Partner.

5.4 Your Account will hold funds in one or more Approved Currencies designated by you when you set up your Account with us or as agreed between us during our relationship. We do not provide SEPA Instant Credit Transfer unless we expressly state in the Platform that it is available.

5.5 If you have not used your Account for [12] months or more, we will consider it dormant. We may require updated customer due diligence before restoring access. We may also charge a fee for inactivity as set out in our Fees List.

5.6 We may limit the value and/or the number of transfers of funds you can instruct us to make into or out of your Account depending on your country of residence or country of incorporation if you are a Corporate Customer, verification status, and other factors we might consider reasonable. Your current limits are shown in your Account. We may change such limits from time to time, via notice in writing. A payment method, currency, destination, payment limit or execution time may depend on your customer type, the currency, beneficiary location, scheme rules, Payment Partner availability, sanctions screening, financial-crime controls and other operational restrictions.

6 CARDS

6.1 You must use your Card in accordance with the Card Terms. You can use your Card to buy goods and/or services. A Card is a prepaid electronic money payment instrument. It is not a credit card and does not provide an overdraft. Card availability is subject to eligibility, our approval and the Card Terms. You must accept the Card Terms before you activate or use a Card.

6.2 We are entitled to move funds with instructions from you:

6.2.1 to your Card from your Account balance; and

6.2.2 to your Account balance from the funds on your Card.

6.3 You can have more than one Card linked to your Account (for example a EURO denominated Card and a Pound Sterling denominated Card) so any reference in these GTC to a Card will apply to all your Cards. The Card may be provided under a white-label card programme. The Card Terms will identify the relevant card issuer, BIN sponsor, programme manager, processor and card scheme. Wallester AS may provide card-programme services.

6.4 Subject to the Card Terms, you may use a Card to pay merchants at point-of-sale terminals, online payment gateways and other permitted acceptance points. You may use a Card to withdraw cash from an ATM where that functionality is available.

6.5 Cash withdrawals, card payments, card replacement, delivery, currency conversion and other Card services may be subject to fees, limits and third-party charges. These will be shown in the Fees List and the Card Terms. An ATM operator may charge a separate fee.

6.6 You may be able to add an eligible Card to Apple Pay, Google Pay or another digital wallet. The availability and use of a digital wallet are subject to the Card Terms and the terms of the relevant digital wallet provider.

6.7 You may transfer funds between your Account and a Card only through functionality we make available. You must have sufficient available funds.

6.8 We may suspend, block, replace or cancel a Card in accordance with the Card Terms, these GTC and applicable law.

7 E-MONEY SERVICES (ISSUANCE AND REDEMPTION)

7.1 On receipt of funds from you we shall issue without delay electronic money in your Account at par value. We may delay or refuse issuance where we are required or entitled to do so under these GTC or applicable law.

7.2 At your request we shall redeem at any time and at par value the monetary value of the electronic money held in your Account, unless we cannot do so for the reasons described in these GTC. You may request redemption of the monetary value of the electronic money in whole or in part and we shall redeem the amount so requested. You may request redemption by instructing a transfer to a verified account in your name or by using another redemption method made available by us. We may charge a fee only where this is permitted by applicable law and shown in the Fees List.

7.3 We may delay or refuse redemption only where permitted by applicable law. This may include fraud, sanctions, anti-money laundering, security, payment-reversal or other regulatory checks. We will tell you the reason where we are legally permitted and it is appropriate to do so.

8 RECEIVING PAYMENTS IN YOUR ACCOUNT

8.1 You can receive money into your Account using the methods we support from time to time, as set out in your Account. You must give the payer the correct Virtual IBAN, account number, sort code or other Identifier.

8.2 A payer may need to provide payment references, purpose-of-payment information or supporting documents. We or a Payment Partner may request this information before making funds available.

8.3 We will treat a payment as correctly executed if it is received using the Identifier allocated to your Account. This is subject to any mandatory rights you have under applicable law.

8.4 We will make funds available after we receive them and complete checks that we reasonably require. The availability of funds may depend on the payment method, cut-off time, currency conversion, scheme rules, Payment Partner processing and compliance checks.

8.6 After we receive a payment, we will provide the information required by applicable law through the Platform or another Durable Medium. This information will include the payment reference, payer information where available, amount received, fees charged, exchange rate where applicable and credit value date. You may view and download this information through the Platform.

9 REVERSAL OF FUNDS

9.1 You acknowledge that funds received into your Account may be reversed. We may reverse, return or restrict funds credited to your Account where this is required or permitted by applicable law, payment-system rules or these GTC. This may include a payment that is recalled, returned, reversed, charged back, incorrectly credited, fraudulent, unlawful or subject to a valid claim by a payer or another payment service provider.

9.2 Before, during or after a reversal, we may restrict the relevant funds or your Account where reasonably necessary. We will notify you as soon as reasonably practicable unless notification would be unlawful or would compromise fraud prevention, security or an investigation.

10 MAKING PAYMENTS FROM YOUR ACCOUNT

10.1 We will make payments from your Account in accordance with the payment instructions you give us unless we cannot do so for the reasons described in these GTC. We will execute a payment instruction only if you have sufficient available funds and we can lawfully and operationally execute the payment.

10.2 You must provide the information needed to execute a payment. This may include the payee’s name, account number, IBAN, sort code, BIC, address, payment amount, currency, payment reference and supporting documents.

10.3 You must ensure that the information you provide is complete and correct. You must check the payee details before confirming a payment instruction.

10.4 We may request further information or documents before executing a payment. We may carry out payee, sanctions, fraud, financial-crime and other checks.

10.5 You may only make a payment from available funds in your Account. There is no overdraft facility available on the Account. You must have sufficient available funds to cover the payment amount and applicable fees.

10.6 Before you confirm a payment instruction, we will provide the information required by applicable law. This may include the payment amount, applicable fees and, where relevant, the exchange rate.

10.7 After we execute a payment, we will provide the information required by applicable law through the Platform or another Durable Medium.

10.8 You may revoke a payment instruction only to the extent permitted by applicable law, payment-system rules and the functionality available in the Platform. A payment instruction will normally become irrevocable when we receive it. A future-dated instruction may be revoked before the end of the Business Day before the scheduled execution date, unless we agree otherwise.

10.9 If you ask us to recall a payment after it becomes irrevocable, we may use reasonable efforts to do so. We do not guarantee that the payment will be recovered. We may charge a fee only where this is permitted by applicable law and shown in the Fees List.

10.10 A receiving bank, intermediary bank, payment system or Payment Partner may reject, delay, deduct charges from or return a payment. We will notify you where reasonably practicable. You remain responsible for properly disclosed fees and third-party charges that apply to your payment.

11 PAYMENT TRANSACTIONS WITHIN MAP E-PAY SOLUTIONS LIMITED

11.1 Internal payments made by you within MAP e-Pay Solutions Limited shall be processed by us on the same Business Day, taking into account the Cut-Off Times. Internal transfer availability is subject to the Platform, applicable limits and our controls.

11.2 Internal payments within your own Accounts with MAP e-Pay Solutions Limited submitted by you can be processed and executed on the same Business Day or, where available, substantially in real time, subject to technical availability.

11.3 If internal transfers are not available, a payment to another MAP ePay customer will be processed as an external payment using the payment method selected by you.

12 WHEN DO WE RECEIVE AND EXECUTE YOUR INSTRUCTIONS TO MAKE PAYMENTS?

12.1 You may instruct us through the Platform using the security procedures that we make available. We will apply strong customer authentication where required by applicable law. We may also require additional authentication or verification where reasonably necessary for security, fraud prevention or regulatory compliance. The use of correct Account Access Details does not, by itself, prove that you authorised a Transaction.

12.2 We will ordinarily receive your payment instruction at the time you confirm it. If your Account includes functionality that allows you to instruct us to carry out a payment on a specific day, when you use that functionality to make a payment, we will treat the time of receipt of the instruction as being on that specified day.

12.3 Payment Instructions are executed as follows:

12.3.1 Internal transfers are executed in accordance with clause 11.

12.3.2 Faster Payments, SEPA Credit Transfers, SWIFT Payments, foreign-exchange conversions and other payment instructions are executed in accordance with Table A, applicable law, payment-system rules and the checks described in these GTC.

13 REPORTING

13.1 We will make your Account balance, Transaction history, payment references, exchange rates and fees available through the Platform. You may view and download this information through the Platform.

13.2 All payment orders and instructions given to us shall be given via your Account. We do not accept payment orders or instructions by any other method (such as paper form, email, or fax), unless specifically agreed between us.

13.3 A payment instruction is subject to clause 10.8, clause 12 and your rights under applicable law.

14 EXCHANGE RATES

14.1 If you receive a payment, including a refund, in a currency that is not one of the Approved Currencies for your Account, we will convert it an Approved Currency available for your Account, where required to make the funds available. The conversion rate may be a live rate obtained from a Payment Partner.

14.2 To make a Transaction in a currency that is different to the Approved Currency you hold in your Account we shall first need to convert the amount into that other currency before you make the Transaction. We will show you in your Account the live conversion rate for the currency you have chosen, and we will ask you to consent to this before the conversion is carried out. The conversion rate is based on the rate used by our Payment Partners. We will also show you the applicable fee where required by applicable law.

14.3 We have the right to refuse to execute a currency conversion order in any of the following cases:

14.3.1 the order is not placed in the manner and form according to our procedures;

14.3.2 there is insufficient balance in your Account to cover the applicable fees and charges;

14.3.3 the rate is unavailable or clearly erroneous; or

14.3.4 for the reasons specified in paragraph 21 of this GTC** or otherwise permitted by applicable law.**

14.4 The exchange rate may include a margin or markup. Any applicable margin, markup or fee will be disclosed in the Fees List or in the Platform before you confirm the Transaction, where required. A change in a reference exchange rate may apply immediately where permitted by applicable law. We will provide information about the rate applied to your Transaction through the Platform.

15 FEES AND CHARGES

15.1 The Fees List sets out the charges and fees you must pay to us for Account services, payment services, foreign exchange, Cards, cash withdrawals and other Services. The Fees List forms part of these GTC. It will state its effective date and version number.

15.2 If you have a Card, the fees charged for the use of the Card are separate from and in addition to the fees for the use of the Services. The Card fees are set out in the Fees List and the Card Terms.

15.3 We may deduct a fee from your Account where you have agreed to the fee, the fee is due and the deduction is permitted by applicable law. We will not charge a fee where applicable law prohibits it.

15.4 For SEPA Credit Transfers and other payments, charges will be allocated in accordance with applicable law and payment-system rules. For SWIFT Payments, you may be offered SHA, OUR or BEN charging options where those options are available. The applicable option and our charge will be shown before you confirm the payment, where practicable.

15.5 Regardless of the type of instruction, you acknowledge that if we or the PSP of your recipient or payer have to use third party PSPs, those PSPs may also deduct their own charges from the amount of the Transaction. For SWIFT Payments, correspondent and intermediary-bank charges may not be known to us in advance.

16 YOUR OBLIGATIONS

If you are a Corporate Customer that is not a Protected Customer, you must reimburse us for reasonable losses, liabilities, costs and expenses that we incur directly as a result of your fraud, wilful misconduct or material breach of these GTC. This clause does not apply to a Consumer or another Protected Customer. This clause does not affect any right that you have under applicable law.

17 KNOW YOUR CUSTOMER CHECKS

17.1 Within the timeframe set out in any request, you will give us all documents and other evidence that we reasonably request at any stage of your use of the Services, or during your application to use the Services.

We may request this information to comply with customer due diligence, anti-money laundering, counter-terrorist financing, sanctions, fraud-prevention, tax-reporting, card-programme or other legal and regulatory requirements.

17.2 You must promptly tell us about a relevant change to your name, address, contact details, citizenship, tax residence, ownership, control, Authorised Users, business activities or other information previously provided to us. You must provide information and documents that we reasonably request within the timeframe we specify.

17.3 We may use Ondato and other service providers to verify information and carry out checks. We may suspend, restrict or close your Account if we cannot complete checks required by law or reasonably required under our policies.

17.4 You acknowledge that, in compliance with laws and regulations, we are obliged to store all the information about you and your Transactions for at least 5 years after your Account is terminated. We will retain personal data and Transaction records for the period required by applicable law.

18 OUR RIGHT TO REVERSE, SUSPEND AND TERMINATE

18.1 We may suspend, restrict, refuse, reverse or terminate all or part of the Services where we reasonably consider this necessary or appropriate because:

18.1.1 you have not provided information or documents that we reasonably require;

18.1.2 you have breached these GTC or provided materially inaccurate information;

18.1.3 we suspect fraud, unauthorised activity, money laundering, terrorist financing, sanctions breaches, tax evasion, criminal activity or another unlawful activity;

18.1.4 we have security, financial-crime, fraud, legal, regulatory, operational or reputational concerns;

18.1.5 we are required to do so by law, a regulator, court, payment system, card scheme or another competent authority;

18.1.6 a Payment Partner can no longer provide a service that we need to provide the Services;

18.1.7 you use the Services for a purpose that we have not approved and that creates material risk for us; or

18.1.8 you engage in a Prohibited Activity.

18.2 In those circumstances, we may immediately take all or any of the following actions:

18.2.1 decline your application for any or all of the Services;

18.2.2 terminate any or all of the Services;

18.2.3 reverse any relevant Transaction;

18.2.4 hold or restrict relevant funds or your access to the Account;

18.2.5 refuse to make payments from or to your Account; and/or

18.2.6 take another reasonable step to protect you, us, other customers, Payment Partners or the payment system.

18.3 We shall inform you of any such actions we take, unless we are prevented from doing so by applicable law or regulation or we believe that doing so would compromise our anti-fraud or security measures.

18.4 We may hold or restrict funds only for as long as is reasonably necessary and permitted by applicable law. We will release or return available funds as soon as we are legally and operationally able to do so.

18.5 We may terminate the provision of any or all of the Services at any time and close your Account, for any reason, by giving you at least 2 months' prior written notice. We may close your Account immediately where we have a reason under clause 18.1 or applicable law permits shorter notice.

18.6 If we decide to terminate the provision of the Services and close your Account, we will ask you to provide us details of a verified account in your name to which available funds can be returned. We may deduct properly disclosed and due fees. We may delay or refuse a return of funds where required or permitted by law.

19 YOUR RIGHT TO CLOSE YOUR ACCOUNT

19.1 If you are a Consumer and you have entered into this Agreement by distance means, you are entitled to withdraw from and cancel this Agreement without needing a reason and without any cost as described in this paragraph 19.1. You can exercise your right to withdraw from the Agreement within 14 calendar days of receipt of these GTC or when the Agreement is concluded, unless applicable law provides otherwise. Your right to withdraw may be exercised by using the internal communication system on our Website or the contact details in clause 31.

19.2 You may close your Account at any time, irrespective of exercising the right to withdraw or not under paragraph 19.1. We will not apply any charges when you withdraw from these GTC or close your Account**, except where a charge is permitted by applicable law and shown in the Fees List.**

19.3 When you give us notice to close your Account we will return available funds in accordance with clause 18.6. We may deduct fees that are properly due and payable.

20 REFUSING A PAYMENT

20.1 We may refuse to carry out any instruction from you (including a currency conversion order) or refuse to accept funds into your Account in any of the following cases:

20.1.1 you are in breach of these GTC or engage in a Prohibited Activity;

20.1.2 the payment would breach applicable law, payment-system rules or a Payment Partner's lawful requirements;

20.1.3 it is unlawful to carry out your instructions or to accept the funds; we reasonably need further information or checks before processing the payment, or a Payment Partner, receiving bank, payment system, card scheme or other relevant third party refuses, delays or is unable to process the payment;

20.1.5 if we do not receive your instruction in an approved method ; or

20.1.6 you do not hold adequate funds in your Account to complete the Transaction and cover all fees and expenses.

20.2 If we refuse to carry out an instruction we will tell you the reason and, where possible, how to correct the issue, unless it is unlawful for us to do so or notification would compromise fraud prevention, security or an investigation.

20.3 We will treat a payment instruction which we refuse to carry out according to clause 20.1 as not having been received by us. This is subject to any rights you have under applicable law.

21 PROHIBITED ACTIVITIES

21.1.1 using the Services in breach of applicable law or regulation, including anti-money laundering, counter-terrorist financing, sanctions, fraud-prevention, consumer-protection, data-protection, payment-services and electronic-money laws;

21.1.20 using the Services in a way that causes, or is reasonably likely to cause, a Payment Partner, payment system, card scheme, internet service provider or supplier to suspend or terminate services provided to us;

21.1.21 using the Services in a way that creates a material risk of non-compliance with our anti-money laundering, counter-terrorist financing, sanctions, fraud-prevention or other legal and regulatory obligations;

22 KEEPING YOUR SECURITY DETAILS SAFE

22.1 to 22.6

22.1 You must take reasonable steps to keep your Account Access Details, Card, mobile device and security codes safe. You must not share them with anyone except an Authorised User approved by us.

22.2 You must use strong and unique passwords. You should keep your device software up to date and avoid accessing your Account through insecure or public networks where possible.

22.3 You must notify us without undue delay if you believe that your Account Access Details, Card or device has been lost, stolen, compromised or used without your authority. You must use the fraud-reporting contact details in clause 24A or another contact method made available by us.

22.4 We may block or suspend Account Access Details or a Card where we reasonably believe that security has been compromised, fraud is suspected or use is unauthorised. We will notify you before or promptly after taking this action, unless notification would be unlawful or would compromise security or fraud prevention.

22.5 You will not be liable for an unauthorised Transaction except to the extent that liability is imposed on you by applicable law. Clause 24 sets out further information about unauthorised Transactions.

22.6 Nothing in this clause treats a Transaction as authorised merely because correct Account Access Details, a Card, device or security code were used.

23 AUTHORISED USERS

23.1 If you appoint an Authorised User, we will treat the Authorised User as having authority from you and all instructions from the Authorised User shall be regarded as if they came from you. All Authorised Users must be 18 or over. A Corporate Customer may appoint an Authorised User through the process we specify.

23.2 You must notify us in writing immediately upon any change in the information provided regarding the Authorised User and that person's scope of authority to give instructions on your behalf.

23.3 You are responsible for all acts and omissions of all Authorised Users within the scope of their authority. This does not affect any rights that a Protected Customer has under applicable law.

23.4 We may rely on an instruction given by an Authorised User who appears in our records as authorised, unless we have received notice that the authority has ended or we have reason to suspect fraud or lack of authority.

23.5 We may require authentication, verification or evidence of authority before accepting an instruction from an Authorised User.

24 TRANSACTION DISPUTES

24.1 You must tell us without undue delay if you believe that a Transaction is unauthorised, not executed, incorrectly executed or executed late. You must notify us no later than 13 months after the debit date, unless applicable law provides otherwise.

24.2 Where you notify us of an unauthorised Transaction, we will investigate the matter in accordance with applicable law. We will refund the amount of an unauthorised Transaction as required by applicable law.

24.3 We may request information that is reasonably necessary to investigate a disputed Transaction. We will not require you to prove that you did not authorise the Transaction where applicable law places the burden of proof on us.

24.4 You will be liable for losses from an unauthorised Transaction only to the extent that applicable law permits. Your liability may depend on whether you acted fraudulently, intentionally or with gross negligence, and on the circumstances of the Transaction.

24.5 You will not be liable for an unauthorised Transaction to the extent that applicable law provides that you are not liable. This includes circumstances after you notify us of a lost, stolen or compromised Card or Account Access Details, where we did not provide a means to notify us, or where we were required to apply strong customer authentication and did not do so.

24.6 A payment may be irrevocable after it has been authorised. This does not affect your rights in relation to an unauthorised, non-executed, incorrectly executed or late Transaction, an APP Scam, a card-scheme claim or another mandatory legal right.

24.7 We will execute a payment using the Identifier that you provide. You must check the Identifier carefully. If you provide an incorrect Identifier, we will make reasonable efforts to recover the funds where required by applicable law. We may charge a reasonable recovery fee only where permitted by law and disclosed in the Fees List.

24.8 If we are responsible for a non-executed, incorrectly executed or late Transaction, we will provide the remedies required by applicable law.

24.9 You may ask us to trace a non-executed or incorrectly executed Transaction. We will make reasonable efforts to trace it and notify you of the outcome.

24A AUTHORISED PUSH PAYMENT SCAMS

24A.1 This clause applies where you make a payment through Faster Payments and you believe that you have been deceived into making that payment to a fraudster.

24A.2 If you are a Consumer, Micro-enterprise, eligible charity or another customer protected by the applicable Faster Payments reimbursement rules, you may be entitled to reimbursement for an APP Scam.

24A.3 The scope of protection, eligibility criteria, exclusions, claim time limits, reimbursement limits, excess, vulnerability protections and assessment process are determined by applicable law and the applicable Faster Payments reimbursement rules.

24A.4 The APP Scam reimbursement rules may not apply to all payments. They may not apply, for example, to an international payment, a payment made through a payment system not covered by the rules, a payment made for an unlawful purpose or a dispute with a genuine supplier.

24A.5 You must report a suspected APP Scam as soon as possible. You may report it through +44 (0) 2038468807 or via email on info@mapepay.uk, or the fraud-reporting function in the Platform.

24A.6 You must also report without undue delay a lost, stolen or compromised Card, Account Access Details, mobile device or security code. You may use the reporting channels in clause 24A.5.

24A.7 We will assess an APP Scam claim in accordance with the applicable reimbursement rules. We may request information that is reasonably necessary to investigate the claim.

24A.8 Nothing in these GTC excludes or limits a reimbursement right that you have under applicable APP Scam reimbursement rules. We will not require you to prove that you were not grossly negligent where the applicable rules place the burden of proof on us.

24A.9 We will take account of vulnerability where we are required to do so under the applicable reimbursement rules.

24A.10 Further information about APP Scams and the claims process is set out in our APP Scam Information Notice. The applicable reimbursement rules prevail if there is an inconsistency between those rules and these GTC.

25 OUR RESPONSIBILITIES AND LIABILITY

25.1 We shall at all times perform our obligations under the GTC and carry out the Services with reasonable care and skill.

25.2 Subject to paragraph 25.4 if, in providing the Services, we fail to comply with these GTC, our aggregate liability to you (whether in contract, tort, negligence, breach of statutory duty or otherwise) in any calendar year shall not exceed:

25.2.1 (if you are a Corporate Customer that is not a Protected Customer) the total amount of fees you paid us during that year for the affected Services; or

25.2.2 (if you are a Consumer) any losses you suffer which are a reasonably foreseeable consequence of such failure.

25.3 Subject to paragraph 25.4 we will not pay for indirect or consequential loss, loss of income or revenue, loss of business, loss of profits, pure economic loss, loss of anticipated funds, waste of management or office time**, except where applicable law does not permit that exclusion or limitation.**

25.4 We do not exclude or limit our liability for:

25.4.1 death or personal injury caused by our negligence;

25.4.2 fraud or fraudulent misrepresentation by us;

25.4.3 any other matter for which it would be illegal for us to exclude or limit our liability**, including our obligations under mandatory payment-services or electronic-money law and any rights or remedies which a Consumer has under the Consumer Rights Act 2015 or other mandatory applicable law.**

25.5 We are not liable for any loss or damage caused by a virus, other technological attacks or harmful material that may infect your computer equipment, computer programs, data or other proprietary material of yours, related to your use of the Account and/or our Services**, unless the loss was caused by our failure to take reasonable care or another failure for which we are legally responsible.**

26 SAFEGUARDING YOUR FUNDS

26.1 When we receive funds in exchange for issuing electronic money, we safeguard relevant customer funds in accordance with the Electronic Money Regulations 2011 and applicable FCA requirements. Relevant customer funds are held in one or more designated safeguarding accounts maintained with ClearBank Limited. The safeguarding arrangements are intended to protect relevant customer funds if we become insolvent.

26.1A ClearBank provides safeguarding and payment services services to us. ClearBank does not provide a personal bank account to you merely because you are allocated a Virtual IBAN, UK sort code or account number.

26.2 As your Account is an electronic money account and not a bank account, you acknowledge that the Top-up guarantee and the Financial Services Compensation Scheme ("FSCS") in the UK does not apply to your Account. Safeguarding is not the same as protection under the FSCS.

26.3 We may use Payment Partners, including ClearBank, Currencycloud and Wallester, to provide the Services. Their involvement does not reduce our obligations to you in respect of the Services that we provide.

27 NO INTEREST

27.1 It is understood that under applicable laws and regulations we shall not award you any interest in respect of the holding of electronic money or any other benefit related to the length of time during which you hold electronic money with us**, except where applicable law requires otherwise.**

28 SET-OFF

28.1 We may set off an amount that you owe us against funds in your Account only where the amount is due, lawful, properly disclosed and not subject to a dispute that we reasonably consider to be genuine. We will not exercise set-off in a way that conflicts with applicable safeguarding, payment-services, electronic-money or consumer-protection law. We will notify you after exercising a right of set-off unless we are prohibited from doing so by law.

29 CIRCUMSTANCES BEYOND OUR CONTROL

29.1 We are not responsible for a delay or failure to perform an obligation caused by an event beyond our reasonable control, provided that we take reasonable steps to reduce the effect of that event.

29.2 This clause does not exclude our obligations under mandatory applicable law, including our safeguarding obligations and obligations in relation to unauthorised or incorrectly executed Transactions.

29.3 If an event beyond our reasonable control occurs, we may take reasonable steps to protect the Services and affected customers.

30 ACCESSING OUR SERVICES

30.1 We shall use reasonable endeavours to make sure the Account and our Services are available to you when you need them. However, we do not warrant or guarantee that the Account and the Services will be uninterrupted or error free.

The Services may be unavailable from time to time due to maintenance, upgrades, system failure, a payment-system outage, a third-party service failure or an event beyond our reasonable control.

30.2 We do not guarantee that the Account or Services will always be available, uninterrupted, secure or error-free. This does not affect any right or remedy that you have under applicable law.

30.3 We will take reasonable steps to notify you of planned material service interruptions where practicable.

31 CONTACT METHODS

31.1 All information and documents we provide or make available to you will be in English. Communication between us and you will be in the English language unless you agree with us in writing that the communication between us will be in another language. 31.2 If these GTC are translated into another language, the English version will prevail to the extent permitted by applicable law. If mandatory consumer-protection law requires another result, that law will prevail.

31.3 All payment orders and instructions given to us (including for currency conversions) shall be given via your Account. We do not accept any other methods (such as paper form, email, or fax), unless specifically agreed between us.

32.2 We may process personal data where necessary to provide the Services, comply with legal obligations, prevent and investigate fraud and financial crime, protect the security of the Services, establish or defend legal claims, and pursue our legitimate interests where those interests are not overridden by your rights. 35.6 The FCA does not normally resolve individual customer complaints. You may contact the FCA about a firm, but this does not replace our complaints process or any right to refer an eligible complaint to the Financial Ombudsman Service.

36 CHANGES

36.1 We may make a change to the Services, these GTC or the Fees List where the change is required by law, regulation, a payment system, a card scheme, a Payment Partner, security requirements or a change in our systems or business. We may also make a change that is not to your disadvantage or that introduces a new optional service.

36.2 We will give you at least two months' notice of a proposed change where applicable law requires advance notice. We will provide the notice on a Durable Medium.

36.3 We may make a change immediately where this is required by law, required to protect the security of the Services, necessary to prevent fraud, or permitted by applicable law. We will notify you as soon as reasonably practicable.

36.4 If we give advance notice of a change, we will tell you the date on which it takes effect. You may close your Account before that date without charge if you do not agree with the change. If you do not close your Account before the change takes effect, you will be treated as accepting the change, where permitted by applicable law.

36.5 A change in a reference exchange rate may apply immediately where permitted by applicable law.

36.6 We will not use this clause to make a change that is unfair or that conflicts with applicable law.

37 ASSIGNMENT

37.1 These GTC are personal to you. You may not grant any legal rights to anyone over any of them and you may not transfer your rights and obligations under these GTC to anyone** without our written consent.**

37.2 We may assign or transfer our rights or obligations under these GTC, either in whole or in part, to any third party if this does not materially reduce your rights. We will give you notice before the transfer where required by applicable law.

37.3 No one other than you and us has any right to enforce any of the provisions of these GTC**, except where applicable law provides otherwise.**

38 EXCEPTIONAL EVENTS

38.1 If we receive reliable information that an Individual Customer has died or lost legal capacity, we may suspend the Account to protect the Customer, the estate and other persons.

38.2 We may ask for evidence of death, incapacity, probate, representation or authority before acting on instructions.

38.3 We will deal with available funds in accordance with applicable law and valid instructions from a person who has authority to act for the Customer or the Customer’s estate.

39 OUTSOURCING

39.1 We have the right to outsource functions. When we do so this shall be done according to applicable laws and regulations. We may use Payment Partners to provide the Services. These may include ClearBank Limited for safeguarding and payment services services, CurrencyCloud Limited for payment-processing, foreign-exchange, international-payment and Virtual IBAN services, and Wallester AS for card-programme services.

39.2 When we outsource important operational functions:

39.2.1 the outsourcing will not result in the delegation by senior management of its responsibility;

39.2.2 the relationship and obligations of us towards you will not be altered;

39.2.3 the conditions with which we shall comply in order to be authorised and remain so in accordance with the applicable laws and regulation will not be undermined; and

39.2.4 none of the other conditions subject to which our authorisation was granted will be removed or modified.

39.3 The Card issuer and card scheme applicable to your Card are identified in the Card Terms. The current arrangements are: card issuer: Wallester AS; card scheme: Visa/Mastercard.

39.4 A Payment Partner may have separate terms, rules, limits and technical requirements. Where separate terms apply directly to you, we will make them available before the relevant service is provided.

39.5 We may replace a Payment Partner where reasonably necessary. We will notify you in accordance with clause 36 where the replacement materially affects the Services or your rights. Links to the relevant public registers for Payment Partners are available at [insert webpage link] or on request.

42 THIRD PARTY SERVICE PROVIDERS

42.1 You may instruct payment initiation service providers to initiate Transactions from your Account. You may also use account information service providers, who aggregate and display in one location the information from your Account and from other online payment accounts you may have with us or other PSPs. We reserve the right to deny third party service providers access to your Account for reasonably justified and duly evidenced reasons relating to fraud or lack of authority, including the unauthorised or fraudulent initiation of a Transaction. If we deny a payment initiation service provider or an account information service provider access to your Account, we will notify you of our decision and of the reasons for our decision, unless that notification is unlawful or could compromise the security of your Account. We may deny access only where permitted by applicable law and for objectively justified and duly evidenced reasons.

42A CONSUMER RIGHTS

42A.1 If you are a Consumer, nothing in these GTC is intended to exclude or limit your rights under the Consumer Rights Act 2015 or any other mandatory applicable law.

42A.2 We will ensure that these GTC are fair and transparent. If there is any conflict between these GTC and a right that you have under mandatory applicable law, that right will prevail.

43 GOVERNING LAW AND JURISDICTION

43.1 These GTC are governed by the laws of England and Wales. If you are a Consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of the country in which you are habitually resident.

43.2 The Parties to these GTC submit to the exclusive jurisdiction of the courts of England and Wales**, except where mandatory law gives a Consumer the right to bring proceedings in the courts of the Consumer’s country of habitual residence, or prevents exclusive jurisdiction from applying.**

44 NON-APPLICABILITY OF TERMS

44.1 We will make a Service available to you only where we have activated that Service for your Account. A Service may be subject to separate eligibility criteria, additional terms, limits, fees and operational requirements.

44.2 If a Service is not available to you, the provisions that relate solely to that Service will not apply to you. This does not affect the validity of the remaining GTC.

45 CONSUMER DUTY CLAUSE

45.1 We will provide the Services honestly, fairly and professionally. We will communicate with you in a way that is clear, fair and not misleading.

45.2 Where you are a retail customer, we will act in accordance with the regulatory requirements that apply to us, including the FCA Consumer Duty where applicable.

45.3 This clause does not impose Consumer Duty obligations on you. It does not limit any statutory or regulatory right that you may have.

46 REGULATORY PROTECTIONS AND CORPORATE OPT-OUT

46.1 If you are a Protected Customer, you will receive the protections that applicable law gives to you. Nothing in these GTC is intended to exclude or limit those protections.

46.2 If you are a Corporate Customer that is not a Protected Customer, we may agree with you that specified provisions of the Payment Services Regulations 2017 do not apply, to the extent that the Payment Services Regulations 2017 permit such an agreement. Any such agreement must be clearly identified and accepted by an authorised representative of the Corporate Customer before it takes effect.

46.3 A Corporate Customer must tell us promptly if it becomes a Micro-enterprise, ceases to be a Micro-enterprise, becomes an eligible charity, or otherwise changes status in a way that may affect the protections available to it.
